Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and IS Labs LLC (“IS Labs,” “we,” “us,” or “our”) governing your access to and use of the IS Labs website located at islabs.io, along with all products, applications, and services developed and operated by IS Labs across any platform — including web, iOS, Android, macOS, and any other operating system (collectively, the “Services”).

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

IS Labs operates as a parent company and software studio. Individual products (such as Veytra and future applications) may have supplemental terms specific to those products. In the event of a conflict between these Terms and any product-specific terms, the product-specific terms will govern for that product.

Description of Services

IS Labs is a software studio that designs, develops, and operates software products for individuals and businesses. Our Services include, but are not limited to:

• Web applications, mobile applications (iOS and Android), and desktop applications (macOS and other operating systems)
• The IS Labs website, including all content, features, and functionality
• APIs and integrations associated with our products
• Customer support, documentation, and related communications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

Eligibility

You must be at least 13 years of age (or 16 in certain jurisdictions) to use our Services. By using our Services, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

User Accounts

Some of our Services may require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately if you suspect any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or violates these Terms.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the intellectual property or other rights of IS Labs or any third party
• Transmit any material that is defamatory, obscene, abusive, threatening, or otherwise objectionable
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems, other user accounts, or any networks connected to our Services
• Interfere with or disrupt the integrity or performance of our Services
• Use automated means (bots, scrapers, crawlers) to access our Services without our express written permission
• Reverse engineer, decompile, or disassemble any part of our Services
• Resell, redistribute, or sublicense our Services without authorization

Intellectual Property

All content, features, functionality, software, designs, trademarks, and other intellectual property associated with our Services are owned by IS Labs LLC or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose. This license does not include the right to:

• Modify, copy, or create derivative works based on our Services
• Use any data mining, robots, or similar data gathering methods
• Download any portion of our Services (other than page caching) unless expressly permitted
• Use our Services or content for any commercial purpose not authorized by us

User Content

Our Services may allow you to create, upload, store, or share content (“User Content”). You retain ownership of your User Content. By submitting User Content through our Services, you grant IS Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate the rights of any third party.

Payments & Subscriptions

Certain features of our Services may require payment. By purchasing a subscription or making a payment, you agree to:

• Provide accurate and complete billing information
• Authorize us (and our payment processor, Stripe) to charge the applicable fees to your designated payment method
• Pay all fees and charges incurred in connection with your account at the prices in effect when such fees are incurred

Subscriptions may automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage your subscription through your account settings or by contacting us.

Refunds

Refund eligibility is determined on a case-by-case basis. If you believe you are entitled to a refund, please contact us at hello@islabs.io. We reserve the right to refuse refund requests at our discretion.

Price Changes

We reserve the right to change our prices at any time. If we change prices for a subscription you have already purchased, we will provide reasonable notice before the change takes effect. Your continued use of the Services after a price change constitutes your acceptance of the new pricing.

Third-Party Services

Our Services may integrate with or contain links to third-party services, websites, or applications. These third-party services are governed by their own terms and privacy policies, and IS Labs is not responsible for their content, practices, or availability. Your use of third-party services is at your own risk.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

IS Labs does not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any specific results from the use of our Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IS LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your access to or use of (or inability to use) our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO IS LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless IS Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use our Services will cease immediately.

You may terminate your account at any time by contacting us or using the account settings in the applicable product. Upon termination, provisions of these Terms that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State in which IS Labs LLC is registered, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any arbitration shall be conducted on an individual basis and not as a class action.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you through our Services or via email. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.
